Constitution



1 The name of the Club shall be ‘WORCESTERSHIRE AUDIO VISUAL GROUP' .

2 Object ...To further the interest in photography with emphasis on the art of the Audio
Visual sequence.

3 Membership of the Club implies the undertaking to abide by all the club rules.

4 The affairs of the Club shall be managed by a Committee consisting of a Chairman, Vice
Chairman, Secretary, Treasurer and five other members, all of which shall be elected at
the Annual General Meeting.

5 The Committee shall have the power to co-opt any member for special purposes.

6 The Officers and Committee shall retire annually.

7 The Secretary shall ensure that the minutes are taken of all committee meetings and shall
conduct the correspondence of the Club.

8 The Club shall hold monthly meetings on the third Wednesday of the month from
September to May with additional meetings as decided by the Committee and
Programme Secretary.

9 The Treasurer shall be responsible for the collection of all subscriptions and other
monies.The financial year shall run from January to December.

10 The Annual General Meeting will take place in March. Extraordinary meetings may be
convened by the Committee or on a requisition signed by at least 25% of the ordinary
members stating the object, and sent to the Secretary at least 14 days before the dated
proposed.

11 Subscriptions for the coming year shall be determined by the Committee and notified two
months before the Annual General Meeting.

12 Subscriptions are due at the September meeting.

13 All expenses incurred must be made in the name of Worcestershire Audio Visual Group
and not in the name of individuals. The Club will not be responsible for any debt not
made in its name, howsoever incurred. Any expense in excess of £50.00 must have the
approval of the Treasurer and three Committee Members.

14 The Club shall insure itself against any claim for damages made by a third party.

15 The Committee shall reserve the right to refuse any membership when deemed necessary.

16 In the event of dissolution, a Special General Meeting shall be called to put the facts
before the membership. All assets and cash balances after payment of any outstanding
debts shall be frozen and a set of accounts presented to the membership. If agreement is
reached to disband the Group by the members, the funds left in hand in any account in the
name of Worcestershire Audio Visual Group shall then be divided equally between the
fully paid up members as at the date of the last Club meeting before the dissolution meeting.

17 All assets of the Club shall be vested in the Committee for the time being.

18 No addition or alteration to these rules shall be made except by the Annual General
Meeting, or by an Extraordinary Meeting called for that purpose.
